This website is operated by EATIONWEAR. Throughout the site, the terms 'we' and 'our' refer to EATIONWEAR. EATIONWEAR offers this website, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By accessing our website and/or purchasing something from us, you engage in our 'Service' and agree to be bound by the following terms and conditions ('Service Terms,' 'Terms'), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Service Terms apply to all users of the site, including without limitation browsers, vendors, customers, merchants, and/or contributors of content.

Please read these Service Terms carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Service Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Service Terms are considered an offer, acceptance is expressly limited to these Service Terms.
Sections 1-3 Service Terms and Conditions
Our Services
These services are generally provided in three stages.
Stage 1 – Initial Outreach (or Technical Package Conversion)
EATIONWEAR will engage in a mutually beneficial business relationship with you, so we need to understand each other better. As a seller, we will introduce you to beneficial information about us, such as factory scale, products, daily/monthly production capacity, after-sales support, services offered, etc. As a buyer, you need to provide information about your business scale and direction, expectations for our mutual future development, what points you consider crucial when choosing a supplier, quality requirements, and how we can assist you.
Stage 2 – Sample Development
We will help create product samples based on detailed information listed in each technical package. Unless otherwise agreed, you will receive 1 sample per technical package (unless otherwise agreed). It is noted that samples are typically delivered within 2 weeks after placing the order (but this is not guaranteed and may vary depending on many variables). You need to directly (in advance) pay for the manufacturing and delivery cost of the samples. YOGAUGA typically charges around $50 per sample (including sales tax), but the final price will be confirmed with you after the first stage (technical package creation). This amount is usually reimbursed for bulk orders (at least 300 pieces per design/color).
Stage 3 – Bulk Ordering
Upon your request, EATIONWEAR will place bulk orders for your products based on the relevant technical packages and samples. It is noted that YOGAUGA typically delivers bulk orders within 45 days after ordering (but this is not guaranteed). You need to directly (in advance) pay for the manufacturing and delivery cost of the products.

Our Working Relationship

To assist us in providing the above services, we ask you to: Clearly instruct us (preferably in writing); cooperate and assist us as much as you can; and provide us with all information and documents reasonably required for us to provide the services.

Intellectual Property

In these terms, 'Intellectual Property' refers to all existing and future rights related to copyright, trademarks, designs, patents, or other proprietary rights. We acknowledge that all intellectual property created, written, developed, or formed in creating your design or assembling technical packages is your property, and we will take all reasonable measures to ensure the ownership of such intellectual property belongs and always belongs to you. Any other intellectual property created, written, developed, or formed during the provision of services under this agreement is our property, and you will take all reasonable measures to ensure the ownership of such intellectual property belongs and always belongs to us. We like to showcase our clients' work and share their achievements with the world. Therefore, we reserve the right to share, display, link, write, or otherwise discuss information related to your business and intellectual property, including for marketing and promoting our business.

The obligations under this section remain effective after the termination or expiration of this agreement.

Warranty

Both parties warrant: They have the authority to execute, deliver, and perform their obligations under this agreement; this agreement constitutes a legal, valid, and binding obligation, enforceable against them according to its terms by appropriate legal remedies.
Additional Information:
Production Time
Sample Production: The company's goal is 2 weeks, but it may take up to 3 weeks, depending on design elements, fabric availability, and sample room capacity.
Bulk Order Production: The company aims for 45 days after invoice payment. Please note that some orders may take up to 200 days to fulfill.
Bulk Order Payment
The company cannot ship 100% until the customer pays 100%. Payment of the invoice implies agreement to our terms and conditions.
Refund Policy 
Tech Pack: Tech packs are non-refundable for any reason. Once the payment is received, tech pack preparation begins. Change of mind is not accepted.
If a third party (e.g., bank/PayPal) refunds funds to the customer after work has started, the customer is responsible for resending the payment.
Sample: If sample production has not started, samples can be refunded.
Bulk Production: Refunds are only issued if we cannot repair or replace defective items.

Claims for defective goods and shortages must be made within 48 hours of delivery. Repairs or replacements will be done immediately upon receipt of proof. If the factory is temporarily closed due to government mandates, it is not included in the 200-day production time.

Communication:
All communication for Stages 1-3 will be conducted via email. If additional procedures are needed, they will be agreed upon by the company and the customer. The company will exchange emails as soon as possible.
Service 2: Wholesale Brand Apparel
Refund Policy
All Products: We do not offer refunds or exchanges for any wholesale products.
Claims for defective goods and shortages must be made within 48 hours of delivery. Repairs or replacements will be done immediately.
